The quality of a company's network is not only determined by the partner's market share or capitalization, but the agreement conluded with such partners. A financially advantageous agreement can be disadvantageous from a legal perspective if it is unbalanced to the detriment of one party or if it was drafted with ignorance to the underlying legal regulations. In the latter case it can occur that such agreement is null and void on the basis of contradicting the law. Even occasional even continuous the cooperation between companies and its sub-contractors, the most frequent agreement type is the contract of services. As the most basic forms of business cooperations they should be drafted in writing even if they are moderate in value. If the value of the contract reaches HUF 200.000 it is recommended to put it in writing in order to be able to prove the existence of it and also to comply with tax regulations.
A loan agreement is determined by its collaterals: since the critical situation is when the debtor is unable or refuses to pay therefore the question most important for creditor is that what type of security is included in the agreement (ie. deposit, penalty, guarantee, lien). With my experience acquired in banking law I can protect your interests with the broad knowledge of collaterals in the course of drafting or reviewing the loan agreement.
If your have an e-commerce company (and you obviously won't conclude a separate agreement with all your customers) you will need general terms and conditions, which have to comply with the regulations of the law and also should protect you company. The Hungarian Civil Code states that if a stipulation of the general terms is unclear it is null and void, therefore it is increasingly important to delegate to an expert if it comes to writing or reviewing the general terms.
